Course overview
This course examines corporate law in Australia today, including: regulation of companies under Corporations Act; the incorporation process and its consequences; internal regulation and dealing with outsiders; share capital, company membership and disclosure obligations; the duties and liabilities of directors and other officers of a corporation; members' powers and remedies; and the regulation of corporations in financial difficulty including the administration and the winding up processes.
Course learning outcomes
- Apply principles of corporate law in a rigorous and principled manner, engaging actively with both primary and secondary materials
- Apply corporate law to generate solutions to complex legal problems, and critique the operation of corporate law from a policy perspective
- Structure and sustain concise and cohesive written arguments for a legal audience
- Work effectively to complete complex tasks within a limited time
- Exercise appropriate strategic professional judgment in the resolution of a corporate law problem in an academic environment
- Analyse the impact of corporate law from a policy perspective, in the context of social and cultural diversity, with an understanding of the ethical framework for professionals
